Agreement

By downloading or using Herd, you agree to these terms. If you don't agree, don't use Herd.

What Herd is

Herd is a desktop application that orchestrates multiple AI coding agents. It runs on your machine and connects to third-party AI services that you configure and authenticate with your own API keys or accounts.

Your responsibilities

  • Your code is yours. You own everything you create with Herd. We claim no rights to your code, projects, or outputs.
  • Your API keys are yours. You're responsible for managing your own API keys and accounts with AI providers. Herd stores these locally on your machine.
  • AI provider terms apply. When Herd sends your code to AI services, those services' terms of service and usage policies apply. You're responsible for complying with them.
  • Don't misuse Herd. Don't use Herd to generate malware, exploit vulnerabilities in systems you don't own, or violate any applicable laws.

What we provide

  • The software. We provide Herd as-is. We'll do our best to keep it working, fix bugs, and ship improvements.
  • Updates. We may release updates that fix bugs, add features, or change functionality. Updates are optional but recommended.
  • No uptime guarantee. Herd is a desktop app, so it runs when your machine runs. We don't guarantee availability of our website, update servers, or any online services.

AI-generated output

Code and content generated through Herd by AI agents is produced by third-party AI models. We don't guarantee the correctness, security, or fitness of AI-generated output. You're responsible for reviewing, testing, and validating any code before using it in production.

Intellectual property

Herd, its name, logo, and website design are owned by Herd. You may not copy or redistribute the Herd application without permission. Open-source components are licensed under their respective licenses.

Limitation of liability

To the maximum extent permitted by law, Herd and its creators are not liable for any damages arising from your use of the software. This includes direct, indirect, incidental, or consequential damages, including but not limited to loss of data, lost profits, or damages from AI-generated code.

Herd is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Termination

You can stop using Herd at any time by uninstalling it. We may discontinue Herd or any of its features at any time. These terms survive termination for any provisions that should reasonably survive (limitation of liability, intellectual property, etc.).

Changes to these terms

We may update these terms. If we make material changes, we'll notify users through the app's update channel. Continued use after changes constitutes acceptance.

Governing law

These terms are governed by the laws of the United States. Any disputes will be resolved in the courts of the state where Herd is incorporated.
